MEMBERSHIP AGREEMENT GENERAL CONDITIONS

1- PARTIES

This agreement is between Gri Rent Vehicle Rental Industry and Trade Limited Company operating at www.grirent.com or the Gri Rent mobile application and the real or legal person who is a member of the site or mobile application, through the member's own website www.grirent.com domain. It was made at the stage of membership registration, which was done voluntarily. By becoming a member of the site or mobile application, the member accepts, declares and undertakes that he/she has read and understood the entire agreement and approves all its provisions.

2-DEFINITIONS

Specified in this agreement;

Gri Rent: Gri Rent Car Rental Industry and Trade Limited Company

Member: Real or legal person who is a member of the site,

Site: The website broadcasting through the domain name www.grirent.com,

Mobile Application: GRİ RENT Android and iPhone mobile application,

Vehicle: Any brand and model vehicle that is owned by Gri Rent or the Licensed Branch/s that have signed a License Agreement with Gri Rent and that can be rented,

License Agreement: Within the scope of car rental activities, the "Gri Rent" brand belonging to Gri Rent Vehicle Rental Industry and Trade Limited Company, Gri Rent's systems and all intellectual industrial rights exclusively belonging to Gri Rent are limited to the specified period and written conditions. The agreement granting usage authority to the Licensed Branch,

Licensed Branch: Independent commercial enterprises that have signed a License Agreement with Gri Rent Vehicle Rental Industry and Trade Limited Company and act on their own behalf and on their own behalf and are included in the list annexed to this Agreement.

Personal Data: Any information regarding a specific or identifiable natural person (including personal data of special nature) in accordance with the Personal Data Protection Law No. 6698 and any legislation in force,

3- SUBJECT OF THE CONTRACT

The subject of this agreement is the determination of the procedures and principles regarding the offering of Vehicle/s for rent online on the Site and Mobile Application by Gri Rent and the mutual rights and obligations of Gri Rent and the Member. This agreement governs the Vehicle/s to be made on the Site or Mobile Application and to be rented by the Member.

4- RIGHTS AND OBLIGATIONS OF GRİ RENT

4.1. Gri Rent will be able to make the rental reservations it will receive on the Site and Mobile Application within the scope of the contract, within the scope of the branches specified on the Site and Mobile Application. Gri Rent is authorized to unilaterally change the branch information in question, provided that it informs the Member/s via the Site and Mobile Application. The Member irrevocably accepts and declares that he/she is aware that Gri Rent will fulfill the obligations it has undertaken within the framework of the provisions of this Agreement through the Licensed Branch/s. Signing this Agreement does not mean that Gri Rent has committed to renting a car to the Member. Gri Rent reserves the right to rent or not rent regarding the Member's request, therefore no rights can be claimed from Gri Rent under any name.

4.2.Gri Rent may monitor and record all kinds of activities of the Member on the Site or Mobile Application for security reasons and, when deemed necessary, may intervene in any way such as removing the Member from the Site and Mobile Application, freezing the membership, canceling the membership and so on.

4.3.Gri Rent may change the form and content of the Site and Mobile Application partially or completely without prior notice to the Member, as well as change the domain name on which the Site and Mobile Application are broadcast, use different subdomain names, perform domain name redirection or change the domain name. can close.

4.4.Gri Rent may change the scope and types of services offered on the Site and Mobile Application at any time and without giving any reason, without prior notice to the Member, and may partially or completely freeze, terminate or completely cancel the services offered on the Site and Mobile Application.

4.5.Gri Rent may make changes and/or updates to the service and operation at any time in order to carry out the works and transactions specified in the contract more effectively. Members hereby acknowledge and declare that they accept these changes and that they will act in accordance with these changes.

4.6.This agreement does not contain any commitments regarding the number of vehicles that Gri Rent will rent, brand, model and model year and other matters. The member cannot claim any rights or receivables from Gri Rent under any name for these and other reasons.

5- MEMBER'S RIGHTS AND OBLIGATIONS

5.1.Membership is completed by completing the membership procedure specified in the Site and Mobile Application by the person who wants to become a member and completing the registration process.

By becoming a member, the member accepts the provisions of this agreement and all statements made/to be announced by Gray Rent regarding membership and services.

5.2.The Member declares that the identity, driver's license, address and contact information specified in the membership process are complete and correct, and that if there is a change in the information, he or she will immediately forward this information to Gri Rent, and that he or she will be responsible for any legal disputes and issues that may arise due to incomplete, outdated or incorrect information. He accepts and declares that he will be solely responsible for the damage. Therefore, no liability can be attributed to Gri Rent.

5.3. While the Member is benefiting from the services specified on the Site and Mobile Application, T.R. He will act in accordance with the laws and general moral rules, and will not tolerate insults, threats, slander, harassment, etc. that it will not engage in any actions, will not engage in political or ideological propaganda, will not engage in behavior that disturbs other Members, will stay away from any behavior that may tarnish individuals or institutions, and will avoid any action that may cause disruption or interruption of the services provided on the site, otherwise it will be personally responsible for any damage that may occur. accepts and undertakes that it will happen.

5.4.The Member accepts and undertakes that it will not violate the rights of third parties within the scope of intellectual property law, will respect the copyrights of third parties, will not engage in unfair competition and will respect the trade secrets and private lives of third parties.

5.5.The Member agrees to use a password that cannot be easily guessed by others when using the Site and Mobile Application, username, password, etc. He accepts and declares that he will not share his information with others and that he will be solely responsible for the security of this information since it is not kept in the site database, and Gri Rent will not be responsible in any way.

5.6. The member accepts and declares that he/she will only use his/her own membership account, will not use the account information of other members and will not allow others to use his/her membership account, otherwise, if Gri Rent detects such a situation, his/her membership may be canceled and he/she will compensate for any damages incurred/to be incurred.

5.7.The Member accepts and undertakes that he/she will not send any harmful programs, software, codes and similar materials to the Site and Mobile Application, and will avoid any actions that may endanger the security of the Site and Mobile Application and the members.

5.8.The member cannot transfer his membership account to third parties.

5.9.The Member cannot restrict or prevent others' use of the Site and Mobile Application, or interfere with the operation of the servers or networks used to make the Site and Mobile Application available.

5.10.GRİ RENT is not responsible for any direct or indirect damages that may occur regarding the Member's access and use of the site, including but not limited to virus attacks affecting the Member's computer and telephone equipment and/or losses and damages arising from the information obtained from the site.

5.11. The Member agrees that he/she will not use any tool, software or vehicle to interfere or attempt to interfere with the operation of the Site and Mobile Application, will not connect to the Site and Mobile Application without authorization or perform any transactions, and will not access or use other users' software and data without permission. It does.

5.12.The Site and Mobile Application may contain links to other websites belonging to third parties, which are completely independent of the service offered and not under the control of Gri Rent. Gri Rent does not guarantee the accuracy of the information found on these sites. Gri Rent has no responsibility for the services/products or their content offered on the websites accessed through these links. Member's access to these Websites is entirely under his/her own responsibility and without the permission of Gri Rent.

6-INTELLECTUAL PROPERTY RIGHTS

6.1.The presentation and all contents of the Site and Mobile Application are copyrighted by T.R. It is protected by legislation and intellectual property legislation, and all information and data published, especially all trademarks, logos and service signs on this Site and Mobile Application, belong to Gri Rent or Licensed Branches. The Member cannot distribute, transmit, modify, copy, display, reproduce, publish, process or otherwise use the content of the Site and Mobile Application, directly or indirectly, in the same or in any other way, without the written consent of Gri Rent, or use someone else's Site. and cannot allow users to access or use the Mobile Application services. Otherwise, the Member will be responsible for paying to Gri Rent any compensation amount requested by Gri Rent due to any damages that Gri Rent has suffered/will suffer and any damages suffered by third parties, including but not limited to the licensors.

6.2.Gri Rent's Site and Mobile Application services, Site and Mobile Application information, copyrighted works of the Site and Mobile Application, trademarks of the Site and Mobile Application, commercial appearance of the Site and Mobile Application or Site and All rights regarding all assets, real and personal rights, commercial information and know-how, including all material and intellectual property rights regarding the Mobile Application, are reserved.

6.3. All rights of all texts, graphics, visuals and all pictures on the Site and Mobile Application are reserved and cannot be used without permission.

6.4. Unauthorized use of all financial rights regarding the content, design and software of the Site and Mobile Application (processing, reproduction, dissemination, representation and public offering), including but not limited to any unauthorized disclosure and use, will constitute a violation of intellectual and industrial property rights.

6.5.Members accept and undertake that they will comply with the Turkish Code of Obligations, Turkish Penal Code, Law on Intellectual and Artistic Works, Turkish Commercial Code, Decree Law on Trademarks and all current and/or future legislation when using the Site and Mobile Application. . Any legal, administrative, criminal and financial liability that may arise due to otherwise use belongs to the Member and Gri Rent reserves the right of recourse.

7-RESPONSIBILITY

The Member accepts that there may be deficiencies in the information and services offered/published on the Site and Mobile Application, communication problems, technical problems, infrastructure and internet failures, power outages and/or other problems, but not limited to the ones listed, and in case such problems/malfunctions occur, Gri Rent is authorized to stop or terminate or cancel car rental activities on the Site and Mobile Application without the need to notify the Member and without giving any reason. For these reasons, the member cannot claim any rights or payments from Gri Rent under any name.

Gri Rent does not guarantee that the service will be error-free or available continuously or that the service is free of viruses and other harmful elements. Gri Rent cannot be held responsible for any direct and/or indirect damages arising from the Member's use of any product or service. The Member accepts and declares that he/she is personally responsible for any damage or loss that may occur as a result of using the service or the Site.

8- FORCE MAJEURE

Unavoidable situations that are beyond the reasonable control of the relevant party and that it cannot prevent despite exercising due care, including but not limited to natural disasters, riots, wars, strikes, communication problems, technical problems, infrastructure and internet failures, power outages and bad weather conditions. In cases of "Force Majeure"; Gri Rent has the right to perform any of its obligations specified in this agreement late, incompletely or not at all. Because, Gri Rent's obligations are suspended during this Force Majeure Period. In these and similar cases, Gri Rent will not be deemed to be late, incomplete, non-performing or in default. For these situations, no compensation under any name can be claimed from Gri Rent. If the force majeure situation continues for more than 7 (seven) days, Gri Rent is authorized to terminate this agreement unilaterally and without compensation, without the need for any notification.

9-CHANGES IN CONTRACT PROVISIONS

Gri Rent has the right to make unilateral changes to the provisions of this agreement without the need to notify the Member and without giving any reason. The Member is deemed to have accepted the changes in question from the moment they are published on the Site and Mobile Application. The member accepts this matter as irrevocable.

10- MEMBERSHIP CANCELLATION and TERMINATION OF THE AGREEMENT

10.1. If the Member acts in whole or in part in contradiction with any or all of its obligations arising from this agreement, Gri Rent may unilaterally terminate this agreement and cancel the Member's membership, without the need for any notification and without giving any justification, and the Member may cancel the Membership of the Member, the information received or received from the site. may also partially or completely suspend or cancel the services it will receive. Therefore, in case of termination, the Member cannot make any rights or demands from Gri Rent. The member cannot object to this issue.

10.2. Gri Rent is authorized to terminate this agreement unilaterally, without giving any reason and without the need for any notification, to cancel the membership of the Member and to partially or completely freeze or cancel the services that the Member has received, is currently receiving or will receive from the site. In this case, the Member may claim that there has been an unjust, unjustified, unreasonable, unintentional and untimely termination, a violation of good faith, or any other reason or excuse, and will not be entitled to any right, receivable, loss of profit, compensation for damage or damage from Gri Rent, or under any other name and title. cannot request any payment.

10.3. The member is authorized to terminate this agreement unilaterally at any time, if deemed necessary, without giving any reason, by giving a 1-day notice in writing.

11- DURATION OF THE CONTRACT

This agreement comes into force from the moment it is approved on the Site or Mobile Application and terminates automatically, without the need for further notice, when Gri Rent cancels the Member's membership and/or terminates the services offered on the Site.

12-PRIVACY

The Parties accept that any commercial, professional information and Personal Data belonging to the other party to which they will become aware in accordance with this Agreement are confidential, and undertake not to disclose this information to third parties by the parties or their employees in question during and after the Agreement. This confidentiality commitment remains valid even if this Agreement is terminated or cancelled. The parties accept and declare that they will cover any damages incurred by the other party in case they act contrary to the obligation of confidentiality.

13- PROTECTION OF PERSONAL DATA

13.1.Gri Rent will protect the Personal Data it has acquired within the scope of this Agreement in accordance with all rules and obligations imposed in accordance with the Personal Data Protection Law No. 6698 and the current legislation, and in this context, regarding the protection and processing of any Personal Data it obtains regarding the Member. It accepts and undertakes in advance that it will comply with the principles and obligations and that it will be personally responsible in case of violation of them.

13.2.In this context, Gray Rent does not in any way disclose the personal data of the Members that are required to be acquired, processed or shared with the third parties and/or organizations from which it receives services for the performance of the car rental service subject to this Agreement, without the prior explicit consent of the relevant Member. Without limitation, personal data cannot be processed, used for purposes other than their intended purpose, or transferred to third parties.

13.3.Gri Rent is obliged to take all necessary technical and administrative measures in order to prevent the unlawful processing and access of the Personal Data it has obtained and processed in accordance with the law within the scope of this Agreement and to ensure the preservation of this Personal Data.

13.4.Gri Rent cannot disclose the Personal Data it has learned about Members to anyone else, contrary to the provisions of the Personal Data Protection Law No. 6698, and cannot use them for purposes other than providing the services specified in this Agreement. This obligation continues even if this Agreement terminates.

13.5.If the Member's Personal Data is obtained by others through illegal means, Gri Rent will immediately notify the Member of this situation and will immediately support the Member with the necessary technical and administrative measures to prevent any damage from occurring or to prevent the existing damage from growing. In this context, upon the Member's request within the framework of the application to the Personal Data Protection Board, the Member will provide the necessary detailed explanations in writing during the application process.

13.6. In the vehicles offered for rent by Gri Rent within the scope of this Agreement, there are devices that collect and record the Member's personal data, such as a vehicle tracking system, etc., in order to provide the service subject to the Agreement and to perform other necessary operational transactions. The vehicles are monitored with the said systems and the vehicle location and km information is recorded. Gri Rent may disclose these records to relevant third parties/institutions, officially or unofficially, when necessary for security reasons or for use in legal, judicial/administrative transactions/investigations.

14- NOTIFICATION

The parties accept and undertake that the addresses specified during the membership process are their legal notification addresses, and that notifications made to these addresses will have all the legal consequences of legally valid notification unless the address change is notified to the other party in writing.

Member is responsible for any changes to be made in the contract and services, cancellation of membership, termination, termination of this contract, etc. He/she has consented to all kinds of notifications being sent to the e-mail address specified during the membership process, and accepts and undertakes that the notification has been notified from the moment it is sent by Gri Rent and will have legal consequences, regardless of whether the e-mail notifications are delivered or not. Gri Rent is not responsible for the late or non-delivery of notification to the member and its consequences. E-mail and fax cannot be used in the Member's correspondence with Gri Rent.

15-AUTHORITY AND EVIDENCE AGREEMENT

15.1.Turkish Law will be applied and Istanbul Anatolian Courts and Enforcement Offices will be authorized in resolving the problems arising from the implementation of this agreement.

15.2.The Member agrees that, in case of disputes that may arise, all kinds of documents, records, books and all kinds of information, writings and records of Gri Rent in the computer and internet environment will constitute the sole, exclusive and definitive evidence and will be binding, within the scope of HMK.193 of this article. accepts that there is an evidence contract.

16-Miscellaneous

16.1.If any provision of this Agreement is deemed invalid or no longer enforceable for any reason, the other provisions of the agreement will remain in force.

16.2.Gri Rent's failure to exercise or delay in exercising any right or authority it has under the Agreement does not mean that it has waived that right or authority, and the sole or partial exercise of a right or authority does not prevent the subsequent exercise of that or another right or authority. . No waiver of any term, clause or provision of this Agreement shall constitute or be construed as a subsequent or continuing waiver of that term, clause or provision.

16.3.This agreement, from the moment it is approved on the Site or Mobile Application, replaces the agreement previously approved on the Site, if any. In case of conflict, the provisions of this agreement shall apply, regardless of the period in which the agreement is in force. The Member declares that he/she has no rights or receivables from Gri Rent due to the contract and commercial operation previously approved on the Site or Mobile Application, if any, and that he/she irrevocably discharges Gri Rent in the broadest sense in all matters, from the said contract and commercial relationship. accepts, declares and undertakes that all responsibilities that have arisen and/or will arise against Gri Rent continue.

16.4.The Member declares that they have read, understood and accepted all the applications and rules on the Site and Mobile Application. The member declares that he accepts the regulations that may be contrary to his interests in the entire agreement, knowing and understanding the consequences.

16.5.The Member cannot transfer or assign its rights, receivables and obligations arising from this agreement to third parties without first obtaining the written permission of Gri Rent.
